Infiltrate Bio Innovation Grants Program Official Terms and Conditions

1. HOW TO APPLY

The Infiltrate Bio Innovation Grants Program (the "Program") is void wherever prohibited or where registration or bonding is required and is subject to all applicable laws. To participate in the Program, you must submit your Grant Application ("Application") at [www.infiltratebio.com/innovation-grants]. All required information on the Application form must be completed, including a 250-word proposal outlining your project objectives, research plan, and relevance to immune infiltration. All Applications must be submitted in the English language.

Applications are accepted on a rolling basis throughout the year. Review cycles occur continuously with notifications sent within 4-6 weeks of submission. By applying, you represent that you are not prohibited by employment, law, regulation, or the policies or practices of your institution or employer from participating.

2. ELIGIBILITY

The Program is open to doctoral or post-doctoral students, principal investigators, and research professionals at academic institutions, biotechnology companies, pharmaceutical organizations, contract research organizations, government agencies, or non-profit research institutions located in an eligible jurisdiction who have submitted a completed Application. The person submitting the Application is the applicant ("Applicant") and is entering on behalf of their employer or institution, which will be the recipient of the grant ("Grant Recipient").

Applicant warrants that they have obtained any necessary permission to submit an Application to this Program and authorization from their employer or responsible supervisor. Applicants should have:

  • A strong scientific rationale for using tumor infiltration prediction technology
  • A clear plan for utilizing Infiltrate Bio's adhesion biomarker platform
  • Access to appropriate immune cell samples (Primary T cells, CAR-T cells, TCR-T cells, PBMCs, or other relevant immune cell populations)
  • Capability to submit samples within the required timeframe

Determination of eligibility is at Sponsor's sole discretion. By entering, Applicants give permission to Sponsor to contact them about its products and services, whether or not Applicant is selected to receive an award.

Healthcare Professional Restrictions

Healthcare Professionals located outside of the United States may be subject to additional restrictions based on local laws and regulations. The term Healthcare Professionals includes clinical or non-clinical physicians (including MDs and MDs/Ph.Ds), physician assistants, nurses, technicians, research coordinators, administrators and purchasing personnel and entities (including hospitals, rehabilitation centers, nursing facilities, home health agencies, clinics and group purchasing organizations, managed care organizations, physician group practices, medical directors for health insurance organizations, diagnostic institutions) and their employees and representatives who are involved in the actual provision of health care services.

Government Official Restrictions

Government Officials may be subject to additional restrictions based on applicable laws and regulations. Government Official shall mean: (i) Any officer or employee of a government or any department, agency or instrument of a government; (ii) Any person acting in an official capacity for or on behalf of a government or any department, agency, or instrument of a government; (iii) Any officer or employee of a company, business, university or institution owned or funded in whole or part by a government; (iv) Any officer or employee of a public international organization; (v) Any officer or employee of a political party or any person acting in an official capacity on behalf of a political party; and/or (vi) Any candidate for political office.

Void where prohibited, licensed, or restricted by federal, state, provincial, or local laws, regulations, or agency/institutional policy.

3. SELECTION CRITERIA

The objective of the Program is to advance immune therapy research through the application of Infiltrate Bio's adhesion chromatography platform for tumor infiltration prediction. Applications will be evaluated to identify projects that explore novel applications of tumor infiltration prediction in cell therapy development, immunotherapy optimization, or other relevant fields.

Applications will be judged by a panel of experts from Sponsor based on the following criteria:

  • Scientific Merit: Innovation and scientific rigor of the proposed research utilizing tumor infiltration prediction technology
  • Significance and Impact: Potential contribution to advancing cell therapy, immunotherapy, or related fields
  • Feasibility and Approach: Clarity of research plan, appropriateness of sample types, and timeline feasibility
  • Relevance to Platform: Alignment with Infiltrate Bio's adhesion biomarker platform capabilities and potential for meaningful results

Judges' decisions are final on all matters and shall not be subject to challenge or appeal.

4. NOTIFICATION AND GRANT RECIPIENTS' OBLIGATIONS

Grant Recipients will be notified within 4-6 weeks of Application submission. By participating, Applicants and Grant Recipients agree to these Official Terms and Conditions and the determination of each Grant Recipient by Sponsor, which shall be final and binding in all respects.

Grant Recipients agree to:

  • Submit all samples to Infiltrate Bio within 3 months of grant acceptance
  • Share results through publication, conference presentation, or poster presentation at a relevant scientific conference within 12 months of grant acceptance
  • Provide protocols utilized in the project and any resulting data (the "Results") to Sponsor for use by Sponsor, in its sole discretion
  • Acknowledge Infiltrate Bio's support in any publications or presentations resulting from the grant

Acceptance of the award constitutes permission to use a recipient's name, biographical information, likeness, institution/company information, and project description for promotional purposes without further compensation, except where prohibited by law. No information regarding judging or selection will be disclosed.

5. AWARD

Selected Grant Recipients will receive access to Infiltrate Bio's Innovation Grant service package, which includes:

Service Access

Infiltration biomarker analysis service utilizing our proprietary adhesion chromatography platform

Sample Capacity

Analysis of up to 20 immune cell samples per pilot study

Accepted Sample Types (one category per grant):

  • Primary T cells: CD4+, CD8+, or mixed T cell populations
  • Engineered cells: CAR-T, TCR-T, or other genetically modified immune cells
  • PBMCs: Peripheral blood mononuclear cells or other immune cell preparations
  • Other immune cell populations: Subject to approval

Data Package

  • Comprehensive analysis report with infiltration predictions
  • Adhesion metrics and biomarker profiles
  • Expert interpretation and recommendations

Scientific Support

  • Consultation on experimental design
  • Data analysis guidance
  • Results interpretation support

The Award is not transferable; no substitutions or cash equivalents are allowed. All samples must be submitted within 3 months of grant acceptance. Grant Recipient agrees to provide all other materials, personnel, laboratory space, and equipment necessary, and to bear all expenses of their project not explicitly covered by the grant.

The Applicant will be required to execute and return an Acceptance of Grant document within 14 calendar days of notification. If the Applicant and/or Grant Recipient fail to return these documents by the deadline, the grant will be forfeited and an alternate recipient may be determined.

6. INTELLECTUAL PROPERTY

Ownership of the pre-existing underlying intellectual property of the Grant Recipient remains the property of the Grant Recipient subject to Sponsor's rights to use the Application and Results for the purposes described herein.

By participating in the Program, each Grant Recipient grants to Sponsor a non-exclusive, worldwide, fully paid, royalty-free, perpetual, transferable license to:

  • Use, display, and reference the Application, Results, and project outcomes for marketing and promotional purposes
  • Include Results in case studies, presentations, and scientific communications
  • Reference the research in patent applications or publications where appropriate

Each Applicant and Grant Recipient warrants that any Application and other materials provided, and any Results, are original with Grant Recipient and do not violate or infringe upon the copyrights, trademarks, rights of privacy, publicity, other intellectual property, or other rights of any person or entity, and do not violate any rules or regulations.

Grant Recipients retain the right to publish Results in peer-reviewed journals and present at scientific conferences, provided that Infiltrate Bio is acknowledged as supporting the research.

7. GENERAL RULES

Return of any award or award notification as undeliverable may result in disqualification. By participating in this Program, Applicants and Grant Recipients agree to be bound by these Official Terms and Conditions and the decisions of Sponsor.

Sponsor is not responsible for technical, hardware, software or telephone malfunctions of any kind; lost or unavailable network connections; or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in this Program.

Sponsor reserves the right at its sole discretion to:

  • Disqualify any Applicant who violates the Official Terms and Conditions
  • Cancel, terminate, modify or suspend the Program if circumstances prevent it from running as planned
  • Modify the number of grants awarded based on the quality and quantity of applications received

8. RELEASE/LIMITATIONS OF LIABILITY

YOU HEREBY HOLD SPONSOR HARMLESS FROM AND AGAINST ANY THIRD-PARTY CLAIM ARISING FROM USE OF THE PROGRAM, THE APPLICATION, OR THE RESULTS. SPONSOR AND ITS AGENTS ARE NOT RESPONSIBLE FOR LOST, LATE, DAMAGED, MISDIRECTED, ILLEGIBLE, INCOMPLETE OR MUTILATED APPLICATIONS; OR FOR ANY COMPUTER, ONLINE, TELEPHONE OR TECHNICAL MALFUNCTIONS, DELAYS OR HUMAN ERRORS THAT OCCUR IN THE PROCESSING, TRANSMISSION OR RECEIPT OF APPLICATIONS.

SPONSOR IS NOT RESPONSIBLE FOR ANY DAMAGES, LOSSES, OR INJURIES RESULTING FROM PARTICIPATION IN THE PROGRAM OR USE OF THE GRANT SERVICES. GRANT RECIPIENTS ASSUME ALL LIABILITY FOR PROPER HANDLING, STORAGE, AND SHIPMENT OF BIOLOGICAL SAMPLES.

IN NO EVENT SHALL SPONSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM OR THE USE OF GRANT SERVICES.

9. DATA PRIVACY AND CONFIDENTIALITY

Sponsor will handle all personal data in accordance with applicable data protection laws and its Privacy Policy. By submitting an Application, Applicants consent to the collection, use, and processing of their personal data for the purposes of administering the Program.

Sponsor will maintain reasonable confidentiality regarding proprietary information shared in Applications, subject to Sponsor's rights to use information as described in these Terms and Conditions.

10. COMPLIANCE WITH LAWS

Grant Recipients must comply with all applicable laws, regulations, and institutional policies in conducting research under this grant, including but not limited to:

  • Institutional Review Board (IRB) approvals where applicable
  • Biosafety regulations
  • Import/export regulations for biological materials
  • Good Laboratory Practice (GLP) standards where applicable

11. CHOICE OF LAW; VENUE

Any disputes in connection with this Program will be resolved in the appropriate courts in Nevada, and will be subject to the laws of Nevada, exclusive of its conflicts of laws principles.

12. SPONSOR
